End User License Agreement

This End User License Agreement (“Agreement”) is a legal agreement between you (either an individual or a single entity, “you”) and Tomok (“we,” “us,” or “Licensor”) for the Tomok add-in for Microsoft Excel, published as Linear Schedule by Tomok, including any associated software, assets, and documentation (collectively, the “Software”).

By installing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your internal business or personal purposes within Microsoft Excel.

You may not, and may not permit others to:

1. copy, modify, or create derivative works of the Software, except as permitted by law;
2. reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits;
3. rent, lease, lend, sell, sublicense, or otherwise distribute the Software to any third party;
4. remove or alter any proprietary notices in the Software; or
5. use the Software in any way that violates applicable law or the Microsoft AppSource terms.

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than as expressly set out in this Agreement.

The Software processes the schedule and workbook data on your device within Excel. You retain all rights to your data. We do not collect or store your workbook data — see our Privacy Policy for details. You are responsible for the content and legality of the data you process with the Software.

We may provide updates, upgrades, or new versions of the Software from time to time through Microsoft AppSource. This Agreement governs any such updates unless they are accompanied by a separate agreement.

The Software is provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or that schedule outputs will be accurate or suitable for any particular purpose. You are responsible for verifying any output before relying on it.

To the maximum extent permitted by law, in no event will Tomok be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or related to your use of or inability to use the Software, even if advised of the possibility of such damages. Our total aggregate liability under this Agreement will not exceed the amount you paid for the Software, if any, in the twelve months preceding the claim.

This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. Upon termination, you must stop using the Software and remove it from Excel. Sections 3, 4, 6, 7, and 9 survive termination.

This Agreement constitutes the entire agreement between you and us regarding the Software and supersedes any prior agreements on the subject. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right does not waive it.
